1. Scope of Services

• Adishree Construction offers turnkey construction services, including but not limited to project planning, design, procurement, construction, and project management.
• The specific services will be detailed in a separate agreement or proposal between Adishree Construction and the Client, outlining the project scope, timeline, and cost

2. Client Obligations

• The Client must provide accurate and complete information regarding the project requirements, site conditions, and any relevant documents necessary for the execution of the services.
• The Client is responsible for obtaining any required permits, licenses, or approvals necessary for the project. c. The Client shall ensure access to the construction site and provide a safe working environment for Adishree Construction’s personnel.

3. Project Changes

• The Client shall make payments to Adishree Construction as per the payment schedule outlined in the Agreement or proposal.
• Payments shall be made in the currency specified and within the designated time frame.
• In the event of late payments, Adishree Construction may charge interest on the outstanding amount at a rate specified in the Agreement or proposal.

4. Payment Terms

• The Client shall make payments to Adishree Construction as per the payment schedule outlined in the Agreement or proposal.
• Payments shall be made in the currency specified and within the designated time frame.
• In the event of late payments, Adishree Construction may charge interest on the outstanding amount at a rate specified in the Agreement or proposal.

5. Intellectual Property

• Any intellectual property rights arising from the services provided by Adishree Construction shall remain the property of Adishree Construction unless otherwise specified in writing.
• The Client may use the deliverables solely for the intended purpose and shall not reproduce, distribute, or modify the deliverables without Adishree Construction’s prior written consent.

6. Liability and Indemnification

• Adishree Construction will exercise reasonable care and skill in providing its services. However, we shall not be liable for any damages, losses, or delays arising from factors beyond our control.
• The Client agrees to indemnify and hold Adishree Construction and its employees, agents, and subcontractors harmless from any claims, liabilities, or expenses arising from or related to the project.

7. Termination

• Either party may terminate the Agreement in the event of a material breach by the other party. Written notice must be provided specifying the grounds for termination.
• Termination shall not relieve the Client of their obligation to pay for services rendered up to the termination date.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project.

The obligations of confidentiality shall continue even after the termination of this Agreement.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed following the laws of Chandigarh, India. b. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Chandigarh, India.

10. Entire Agreement

This Agreement constitutes the complete understanding between Adishree Construction and the Client and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
